This Service Agreement ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Client"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Service Provider"). The Client and Service Provider may each be referred to as a "Party" and collectively as the "Parties."
The Service Provider agrees to provide the following services to the Client: Monthly social media management and content creation across Instagram and LinkedIn..
This Agreement begins on July 1, 2026 and continues until August 15, 2026, unless terminated earlier as provided below.
The Client agrees to pay the Service Provider $1,200 per month. Fees shall be paid as follows: Invoiced monthly, due within 14 days.
The Service Provider performs services as an independent contractor and not as an employee of the Client. Each Party is responsible for its own employees, taxes, and insurance.
Each Party agrees to protect any confidential information received from the other Party with the same degree of care it uses for its own confidential information, and not to disclose it to third parties without consent.
Neither Party shall be liable to the other for any indirect, incidental, or consequential damages arising from this Agreement. Each Party's total liability shall not exceed the total fees paid under this Agreement in the preceding three months.
Either Party may terminate this Agreement with 30 days’ written notice, or immediately if the other Party materially breaches this Agreement and fails to cure that breach within 10 days of notice.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
