This Sales / Purchase Agreement ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Seller"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Buyer"). The Seller and Buyer may each be referred to as a "Party" and collectively as the "Parties."
The Seller agrees to sell, and the Buyer agrees to purchase, the following: 2019 Ford F-150, VIN 1FTEW1EP5KKE12345.
The total purchase price is $24,500, payable in full prior to or upon delivery, unless otherwise agreed in writing by both Parties.
Delivery shall take place on or around July 5, 2026, by the following method: Buyer pickup at Seller’s address.
Sold as-is, with no warranty
Risk of loss or damage to the item(s) shall pass from the Seller to the Buyer upon delivery as described above.
The Seller represents that it has good and clear title to the item(s) described above and the right to sell them, free of any liens or encumbrances except as disclosed to the Buyer in writing.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
