This Partnership Agreement ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Partner A"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Partner B"). The Partner A and Partner B may each be referred to as a "Party" and collectively as the "Parties."
The Parties agree to form a partnership under the name Northwind Studio (the "Partnership"), effective as of the date of this Agreement.
The purpose of the Partnership is: Operating a graphic design and branding studio.
Partner A shall contribute $10,000 and Partner B shall contribute $10,000 to the Partnership.
Profits and losses of the Partnership shall be allocated between the Partners as follows: 50% / 50%.
Both Partners shall have equal rights in the management and conduct of the Partnership’s business, unless otherwise agreed in writing. Major decisions outside the ordinary course of business require the consent of both Partners.
A Partner may withdraw from the Partnership with written notice to the other Partner. The Partnership may be dissolved by mutual written agreement, with assets and liabilities distributed in proportion to each Partner’s ownership interest after settling outstanding obligations.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
