This Mutual Non-Disclosure Agreement ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Party A"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Party B"). The Party A and Party B may each be referred to as a "Party" and collectively as the "Parties."
The Parties wish to exchange certain confidential information for the purpose of Evaluating a potential business partnership, and wish to protect that information under the terms of this Agreement.
"Confidential Information" means any non-public information disclosed by either Party, whether orally, in writing, or by inspection, including but not limited to business plans, financial information, technical data, and trade secrets, that is designated as confidential or would reasonably be understood to be confidential.
Each Party agrees to hold the other Party’s Confidential Information in strict confidence, to use it only for the purpose stated above, and not to disclose it to any third party without the prior written consent of the disclosing Party.
Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party, was already known to the receiving Party prior to disclosure, or is independently developed without use of the disclosing Party’s Confidential Information.
The obligations of confidentiality under this Agreement shall remain in effect for 3 years from the date of disclosure.
Upon request of the disclosing Party, the receiving Party shall promptly return or destroy all materials containing Confidential Information.
Nothing in this Agreement grants either Party any rights, by license or otherwise, to the other Party’s Confidential Information beyond what is expressly stated herein.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
