This Loan Agreement (Promissory Note) ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Lender"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Borrower"). The Lender and Borrower may each be referred to as a "Party" and collectively as the "Parties."
The Lender agrees to lend the Borrower the principal sum of $5,000 (the "Loan"), receipt of which the Borrower acknowledges upon disbursement.
Interest shall accrue on the outstanding principal balance at a rate of 5% per annum.
The Borrower agrees to repay the Loan, including any accrued interest, according to the following schedule: $450/month for 12 months, starting August 1, 2026. The Loan shall be repaid in full no later than July 1, 2027.
The Borrower may prepay all or part of the outstanding balance at any time without penalty, unless otherwise agreed in writing.
If the Borrower fails to make a payment when due and does not cure that failure within 10 days of written notice, the entire unpaid balance, including accrued interest, shall become immediately due and payable at the Lender’s option.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
