This Freelance / Independent Contractor Agreement ("Agreement") is made effective as of June 25, 2026, by and between Northwind Studio LLC, located at 14 Riverside Ave, Austin, TX 78701 (the "Client"), and Jordan Avery, located at 220 Birchwood Lane, Austin, TX 78702 (the "Contractor"). The Client and Contractor may each be referred to as a "Party" and collectively as the "Parties."
The Contractor agrees to perform the following services for the Client: Design and develop a 5-page marketing website, including homepage, about, services, blog, and contact pages.. Deliverables include: Figma design files, final source code, and one round of revisions..
This engagement begins on July 1, 2026 and is expected to conclude on August 15, 2026, unless extended or terminated earlier in accordance with this Agreement.
In consideration for the services described above, the Client agrees to pay the Contractor $2,500 total. Payment shall be made as follows: 50% upfront, 50% upon completion.
The Contractor is an independent contractor and not an employee, partner, or agent of the Client. The Contractor is responsible for their own taxes, insurance, equipment, and benefits, and nothing in this Agreement creates an employment relationship between the Parties.
Upon full payment, all final deliverables created specifically for the Client under this Agreement shall become the exclusive property of the Client. The Contractor retains the right to use general knowledge, skills, and pre-existing tools or materials.
Each Party agrees to keep confidential any non-public information disclosed by the other Party in connection with this Agreement, and not to use or disclose such information except as necessary to perform this Agreement.
Either Party may terminate this Agreement with written notice if the other Party materially breaches this Agreement and fails to cure that breach within 10 days of receiving notice. The Client agrees to pay for all work satisfactorily completed up to the date of termination.
This Agreement constitutes the entire understanding between the Parties with respect to its subject matter and supersedes all prior discussions, agreements, or representations, whether written or oral. This Agreement may only be amended in a writing signed by both Parties.
This Agreement shall be governed by and construed in accordance with the laws of Texas, USA, without regard to its conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
